MOBILE BANKING SERVICE TERMS AND CONDITIONS
Thank you for using our Mobile Banking Service ("the Service"). By participating in the Service or using the Software, you are agreeing to these Mobile Banking Service Terms and Conditions ("Terms and Conditions").
Please read these Terms and Conditions carefully before using the Service, and keep a copy for your records.
Acceptance of these Terms
. We may modify these Terms and Conditions (including any fees or service charges) from time to time as provided. We reserve the right, in our sole discretion, to add services, eliminate services, or otherwise modify the terms or features of any service. Any change will begin to apply upon the effective date of the change, and will apply only to your future use of the service. We will notify you of any material change via one or more of the following methods: an alert when you sign‐in to the Service, e‐mail, text message, or on our website by providing a link to the revised Terms and Conditions or by an online secure message. Your continued use of the Services will indicate your consent to be bound by the revised terms. You should access and review these Terms and Conditions regularly, and if you find it unacceptable to you at any time, please discontinue your use of the Service. Your continued use of the Service will indicate your acceptance of any such changes to the Service.
The Mobile Banking Service:
Keystone Bank Mobile Banking Service offers its customers access to their account information through customers' mobile devices (e.g. mobile phones and handheld devices) via an application ("the Mobile App") downloaded and installed on the mobile device. The Mobile Banking Service may also be used to initiate transfers (local and foreign), including bill payments, booking and stopping of cards and cheques etc. through the customer's accounts at Keystone Bank.
Enrolment requires identification of your banking relationship with Keystone Bank as well as providing account or card details. Once the app is downloaded you will be required to enter your account number or card details matched with the information in the bank's records, you will receive an OTP via SMS then you can proceed to create your unique username, password and OTPT. The Mobile Banking Service will be provided to you on a continuing basis. You may opt out of the Mobile Banking Service at any time.

You can opt out of the Service via email to email@example.com. After that, you will not receive any future messages and your access to the Mobile Banking Service will end.
The Service and/or Software may not be available at any time for any reason outside of the reasonable control of Keystone Bank or any service provider.
To use the Service, you must obtain and maintain, at your expense, a supported mobile device with compatible hardware and software as specified by Keystone Bank from time to time and suitable data service. We do not guarantee that your particular mobile device, mobile device operating system, mobile carrier, or data service will be compatible with the Service. Keystone Bank is not responsible for any third party software you may need to use the Service. Any such software is accepted by you as is and is subject to the terms and conditions of the software agreement you enter into directly with the third party software provider at time of download and installation
You are responsible for: (i) maintaining the confidentiality and security of your Mobile Devices, access number(s), password(s), security question(s) and answer(s), account number(s), login information, and any other security or access information, used by you to access the Service (collectively, "Access Information"); and (ii) preventing unauthorized access to or use of the information, files or data that you store, transmit or use in or with the Service (collectively, "Account Information"). You agree not to supply your Access Information to anyone. You will be responsible for all electronic communications, including image transmissions, email and other data ("Communications") entered using the Access Information. Any Communications received through the use of the Access Information will be deemed to be sent or authorized by you. You agree to immediately notify us if you become aware of any loss, theft or unauthorized use of any Access Information, including your Mobile Devices. We reserve the right to deny you access to the Service (or any part thereof) if we believe that any loss, theft or unauthorized use of Access Information has occurred.
Privacy and User Information:
Keystone Bank and its service providers will maintain reasonable safeguards to protect subscriber's information from unauthorized disclosure or use, but reserve the right to use and disclose this information as reasonably necessary to deliver the Service and as otherwise permitted by law, including compliance with court orders or lawful instructions from a government agency, to protect the personal safety of subscribers or the public, to defend claims, and as otherwise authorized by you.
Restrictions on Use: You agree not to use the Mobile Banking Service and Software in or for any illegal, fraudulent, unauthorized or improper manner or purpose and that you will use the Mobile Banking Service and Software only in compliance with all applicable laws, rules and regulations, including all applicable state, federal, and international Internet, data, telecommunications, telemarketing, "spam," and import/export laws and regulations.
Without limiting the foregoing, you agree that you will not attempt to: (i) access any software or services for which your use has not been authorized; (ii) use or attempt to use a third party's account; or (iii) interfere in any manner with the provision of the Service or Software, the security of the Service or Software, or other customers of the Service or Software, or otherwise abuse the Service or Software.
Use of Mobile Banking Service:
The Service will not work unless you use it properly. You accept responsibility for making sure that you understand how to use the Mobile Banking Service before you actually do so, and then that you always use the Service in accordance with instructions as may be communicated or posted to our website or otherwise made available through our Contact Centre upon your request. You also accept responsibility for making sure that you know how to properly use your mobile device and the Software. We may change or upgrade the Service or Software from time to time. In the event of such changes or upgrades, you are responsible for making sure you that you understand how to use the Service as changed or upgraded. We will not be liable to you for any losses caused by your failure to properly use the Service or your mobile device.
We reserve the right to modify the scope of the Service at any time. We reserve the right to refuse to make any transaction you request through the Service.
You agree and understand that the Service may not be accessible or may have limited utility over some mobile networks, such as while roaming. Information available via the Service, including balance, transfer and payment information may differ from the information that is available directly through Keystone Bank's Internet Banking Platform without the use of a mobile device. Information available directly through Internet Banking may be described using different terminologies or may be more current than the information available via the Mobile Banking Service, including but not limited to account balance information. Financial information obtained through the Service (including text message alerts) reflect the most recent account information available through the Mobile Banking Service and may not be accurate or current.
Processing of payment and transfer instructions may take longer through the Service. We are not responsible for such differences including delays, whether or not attributable to your use of the Service.
Additionally, not all of the products, services or functionality described on our Internet Banking Platform are available when you use a mobile device. Therefore, you may not be eligible to use all the products, services or functionality described when you access or try to access them using a mobile device.
The Service may not be available through all mobile service providers and carriers, and some mobile phones and other wireless devices may not be supported in connection with the Service. You are responsible for periodically referring to our website or getting in touch with the nearest branch to determine currently supported mobile service providers, carriers, and mobile devices and for ensuring that you satisfy all technical requirements for using the Service.
You agree that neither we nor our service providers will be liable for any errors or delays in the content, or for any actions taken in reliance thereon.
Account Ownership/Accurate Information:
You represent that you are the legal owner of the accounts you access through the Mobile Banking Service and any financial information which may be accessed through the Service. You represent and agree that all information you provide to us in connection with the Service is accurate, current and complete, and that you have the right to provide such information to us for the purpose of operating the Service. You agree to not misrepresent your identity or your account information. You agree to keep your account information up to date and accurate.
When using the Mobile Banking Service, you may experience technical or other difficulties, a system interruption, or a system failure; and in such event, your data may be lost or destroyed. Any transactions that you initiated or completed or were in the process of completing prior to or during any such event should be verified by you through means other than online. We are not liable for and do not assume responsibility for any data loss, or technical or other difficulties or any resulting damages that you may incur, and you assume the risk of loss of your data during any such difficulties, failure or interruption as well as the responsibility to verify the accuracy and completeness of any affected transactions.
For security reasons, the Service has qualification requirements, and we reserve the right to change the qualifications at any time without prior notice. We reserve the right to change, suspend or discontinue the Service, in whole or in part, or your use of the Service, in whole or in part, immediately and at any time without prior notice to you. We reserve the right to limit the number of Mobile Devices through which you may access the Service. Except as expressly provided in these Terms and Conditions, deposits and transfers made though the Service are subject to limitations and terms governing your Bank account and it may be modified from time to time, including, but not limited to, reduction in daily transfer limits.
No termination of the Service or any part thereof will affect your liability or obligations under these Terms and Conditions accruing prior to the date of termination or any provisions of the Terms and Conditions which, by their nature or by express provision, are intended to survive termination.
You are permitted to use content delivered to you through the Mobile Banking Service only in connection with your proper use of the Service. You may not copy, reproduce, distribute, or create derivative works from this content. Further, you agree not to reverse engineer or reverse compile any Mobile Banking Service technology, including, but not limited to, the Software or other mobile device applications associated with the Service.
No Commercial Use or Re-Sale:
You agree that the Mobile Banking Service is for personal use only. You agree not to resell or make commercial use of the Service.
Charges for the Service:
You agree to pay for the Mobile Banking Service in accordance with our current fee schedule and as amended from time to time. You authorize us to automatically charge your account for all such fees incurred in connection with your use of the Service. In the future, we may add to or enhance the features of the Service. By using such added or enhanced features, you agree to pay for them in accordance with the fee schedule.
Software License Agreement:
Subject to your compliance with these Terms and Conditions, you are hereby granted a personal, limited, non-transferable, non-exclusive and non-assignable license ("License") to download, install and use the Software on your mobile device. In the event that you obtain a new or different mobile device, you will be required to download and install the Software to that new or different mobile device.
This License shall be deemed revoked immediately upon (i) termination of the Mobile Banking Service, (ii) your deletion of the Mobile Banking Service software from your mobile device, or (iii) notice to you at any time, with or without cause. In the event this License is revoked for any of the foregoing reasons, you agree to promptly delete the Mobile Banking Service software from your mobile device. In the event of the revocation of the License, your obligations which are accrued and owing or which expressly or by implication survive such revocation, shall survive.
"Smartphones" and Other Web Enabled Devices:
You acknowledge that smartphones and other Web enabled devices, including the mobile device you use to access the Mobile Banking Service, are subject to the same security risks as computers that are attached to the Internet and agree that it is your responsibility to maintain anti-virus and anti-spyware programs on your mobile device. You also agree not to use a mobile device that has been altered from the original factory settings. This type of altering is commonly referred to as "Jail Broken" or "unlocked". You agree to exercise caution when utilizing the Mobile Banking Service application on your mobile device and to use good judgment and discretion when obtaining or transmitting information. Any losses, charges and unauthorized transactions involving your accounts that are incurred through loss of your mobile device or your failure to safeguard the security credentials you use (such as user names and passwords) to access the Mobile Banking Services and Online Banking will remain your responsibility, except as otherwise provided in applicable law, regulation or other agreements between you and Keystone Bank.
Messaging and Data Charges:
By participating in the Mobile Banking Service or using the Software you agree that the Service or the Software may require the use of your mobile device's data and text messaging capabilities and that standard data and text messaging charges apply in accordance with your service agreement with your mobile service provider. You agree that Keystone Bank is not responsible for any charges you may incur while using the Mobile Banking Service and Software.
No Liability and Hold Harmless:
Keystone Bank will use commercially reasonable efforts and ordinary care to provide you with access to the Mobile Banking Service in accordance with these Terms and Conditions. In no event, however, shall Keystone Bank be liable for its failure to provide access to the Mobile Banking Service or for your failure to receive message service whether either as a result of an error in or interruption of any Software application or as a result of any failure or interruption of your mobile device phone or data service or equipment. Without limiting the generality of the foregoing, Keystone Bank shall not be liable to you for delays or errors occurring by reason of circumstances beyond the control of Keystone Bank, including without limitation, the failure of communication networks and interference with or interruption of internet access or service, the failure of equipment, or any acts of civil, military, or banking authorities, national emergencies, labour difficulties, fire, flood or other catastrophes, acts of God, insurrection, war, riots, failure of transportation, failure of vendors, communication or power supply, or malfunction of or unavoidable difficulties with its equipment. Keystone Bank will not be liable for consequential, incidental, special or exemplary damages, or lost profits, even if you advise Keystone Bank of the possibility of such damages. You acknowledge and agree that you are solely responsible for protecting the confidentiality and security of the security credentials you use (such as user names and passwords) to connect to the Mobile Banking Service and Online Banking. You further acknowledge having been informed that the Bluetooth application on your mobile device must be turned off when accessing mobile banking in order to protect the privacy of your financial records and information. You assume and accept all responsibility for the accuracy of all transactions performed or undertaken utilizing the Mobile Banking Service. You agree to hold Keystone Bank harmless from and against any liability of any character attributable to your use of the Mobile Banking Service, except as otherwise provided in applicable law, regulation or other agreements between you and Keystone Bank. You understand and agree the Mobile Banking Service may not be encrypted and will include the display and transmission of personal or confidential information about you, such as your account activity or status. Delivery and receipt of information, including instructions for payment, transfer and other transactions involving the movement of money, through the Mobile Banking Service may be delayed or impacted by factor(s) pertaining to your Internet service provider(s), phone carriers, other parties, or because of other reasons outside of our control. We will not be liable for losses or damages arising from any disclosure of account information to third parties, non-delivery, delayed delivery, misdirected delivery or mishandling of, or inaccurate content in, information and instructions sent through the Mobile Banking Service, except as otherwise provided in applicable law, regulation or other agreements between you and Keystone Bank.
Additionally, you agree that neither we nor our service providers will be liable for any errors in the content of information obtained or transmitted through the Mobile Banking Service, or for any actions taken in reliance thereon (including, but not limited to, the type of alerts and other preferences selected by you). You are responsible for any and all charges, including, but not limited to, fees associated with data and text messaging imposed by your communications service provider. We are not responsible for any damages resulting from your failure to comply with any terms and conditions provided by your communication service provider or any application store.
You will comply with these Terms and Conditions and all applicable rules, laws and regulations in using this Service. YOU AGREE TO INDEMNIFY AND HOLD HARMLESS AND DEFEND KEYSTONE BANK, ITS OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS, AFFILIATES, AGENTS, LICENSORS AND SERVICE PROVIDERS FROM AND AGAINST ANY AND ALL FIRST AND THIRD PARTY CLAIMS, LIABILITIES, DAMAGES, EXPENSES, COSTS (INCLUDING BUT NOT LIMITED TO REASONABLE ATTORNEYS' FEES) AND OTHER LOSSES CAUSED BY OR RESULTING FROM YOUR USE OF THE SERVICE OR ANY OTHER PERSON WHOM YOU HAVE PERMITTED TO USE THE SERVICE, YOUR BREACH OF THESE TERMS AND CONDITIONS, YOUR INFRINGEMENT, MISUSE OR MISAPPROPRIATION OF ANY INTELLECTUAL PROPERTY OR OTHER RIGHT OF ANY PERSON OR ENTITY, AND/OR YOUR COMMISSION OF FRAUD OR ANY OTHER UNLAWFUL ACTIVITY OR CONDUCT.
Changes to Terms and Conditions:
Keystone Bank reserves the right to change these Terms and Conditions at any time. When material changes are made, we will notify you. You are solely responsible for providing updated addresses as necessary. Revised Terms and Conditions shall become effective at the earliest date allowed by applicable law or regulation. In the event of any conflict between these Terms and Conditions and other terms and conditions related to your account(s) to which the Mobile Banking Service and any related software may be applicable, the Terms and Conditions of the Mobile Banking Service will prevail solely with respect to the conflicting provisions and solely to the extent of the conflict. Continued use of the Mobile Banking Service and any related Software constitutes your agreement with and acceptance of these Terms and Conditions, as well as any future changes to these Terms and Conditions.
Third Party Beneficiaries:
You agree that our Mobile Banking Service providers (including any provider of Mobile Banking Service Software) may rely upon your agreements and representations in these Terms and Conditions, and such service providers are third party beneficiaries of such agreements and representations, with the power to enforce those provisions against you, as applicable and as the circumstances or context may require.
Cooperation with Investigations:
You agree to cooperate with us in the investigation of unusual transactions and in the resolution of claims related to the use of the Service.
We may waive enforcement of any provision of these Terms and Conditions. No waiver of a breach shall constitute a waiver of any prior or subsequent breach of the Terms and Conditions. Any such waiver shall not affect our rights with respect to any other transaction or to modify these terms. In the event that any provision herein shall be deemed to be invalid, illegal, or unenforceable to any extent, the remainder shall not be impaired or otherwise affected and shall continue to be valid and enforceable to the fullest extent permitted by law.
Ownership & License:
You agree that Keystone Bank retains all ownership and proprietary rights in the Service, associated content, technology, and website(s). Your use of the Service is subject to and conditioned upon your complete compliance with these Terms and Conditions. Without limiting the effect of the foregoing, your breach of any of these terms immediately terminates your right to use the Service. You may not copy, reproduce, distribute or create derivative works from the Service or the content and agree not to reverse engineer or reverse compile any of the technology used to provide the Service. You may not make the Service available, disclose, or allow use of it by or for the benefit of any third party.
Disclaimer of Warranties:
YOU AGREE YOUR USE OF THE SERVICES AND ALL INFORMATION AND CONTENT (INCLUDING THAT OF THIRD PARTIES) IS AT YOUR RISK AND IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, AND WE ARE NOT RESPONSIBLE FOR ANY DAMAGE TO YOUR MOBILE DEVICE OR LOSS OF DATA THAT RESULTS FROM THE SERVICES OR THE TECHNOLOGY USED TO PROVIDE THE SERVICES, WHETHER DUE TO A COMPUTER VIRUS OR OTHERWISE. WE DISCLAIM ALL WARRANTIES OF ANY KIND AS TO THE USE OF THE SERVICE AND ANY OF THE TECHNOLOGY USED TO PROVIDE THE SERVICE, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. WE MAKE NO WARRANTY THAT (i) THE SERVICES WILL MEET YOUR REQUIREMENTS, (ii) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS OR ANY DATA OR INFORMATION THAT MAY BE OBTAINED FROM THE SERVICE WILL BE CURRENT, ACCURATE OR RELIABLE, AND (iv) ANY ERRORS IN THE SERVICES OR TECHNOLOGY WILL BE CORRECTED.
Limitation of Liability:
YOU AGREE THAT WE WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER LOSSES RESULTING FROM THE USE OR THE INABILITY TO USE THE SERVICES INCURRED BY YOU OR ANY THIRD PARTY ARISING FROM OR RELATED TO THE USE OF, INABILITY TO USE, OR THE TERMINATION OF THE USE OF THIS SERVICES, REGARDLESS OF THE FORM OF ACTION OR CLAIM (WHETHER CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE), EVEN IF KEYSTONE BANK HAS BEEN INFORMED OF THE POSSIBILITY THEREOF. YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY FAILURE OR NON-PERFORMANCE OF THE SERVICE (INCLUDING ANY SOFTWARE OR THEIR MATERIALS SUPPLIED IN CONNECTION WITH THE SERVICE) SHALL BE FOR US TO USE COMMERCIALLY REASONABLE EFFORTS TO CORRECT THE SERVICE.
